Classical Writing: Provision of writing services adhering to classical rhetorical principles and styles, including academic writing, formal correspondence, and creative writing.
Language Tutoring: Offering online language instruction in various languages. Architectural Drawings: Creation of architectural drawings for infrastructure and automobile projects, including conceptual designs, technical drawings, and renderings.
The specific details and scope of the Services to be provided will be outlined in a separate agreement, proposal, or statement of work (the “Agreement”).
Provision of Information: You agree to provide us with all necessary information, materials, and feedback required for us to effectively deliver the Services. You warrant that all information provided is accurate, complete, and does not infringe upon the rights of any third party.
Timely Feedback and Approvals: You agree to provide timely feedback and approvals as requested by us to ensure the project progresses according to the agreed-upon timeline. Delays in your feedback or approvals may result in adjustments to the project schedule and fees.
Payment of Fees: You agree to pay the fees for the Services as outlined in the Agreement according to the agreed-upon payment schedule.
Acceptable Use: You agree to use our Services for lawful purposes only and will not use them to create or disseminate content that is illegal, harmful, defamatory, obscene, or otherwise objectionable.
The fees for the Services will be specified in the Agreement. Unless otherwise stated, all fees are exclusive of any applicable taxes, duties, or levies, which you will be responsible for paying.
The Agreement outlines payment terms. We may require an initial deposit before commencing work, with subsequent payments due upon completion of specific milestones or project completion.
Late payments may be subject to interest charges at a rate of [Specify Percentage or Rate] per month or the maximum rate permitted by applicable law, whichever is lower.
In the event of project cancellation or termination by you before completion (other than due to our material breach), you may be liable for fees for the work completed up to the date of cancellation, as determined by Apical Lexicons.
Unless otherwise explicitly agreed in writing in the Agreement, Apical Lexicons retains all intellectual property rights in and to our methodologies, processes, and any pre-existing materials used in the provision of the Services.
Upon full payment of all fees, you will typically own the intellectual property rights in the final deliverables specifically created for you as outlined in the Agreement. However, this may be subject to third-party licenses or our right to showcase the work in our portfolio. The specific ownership terms will be clearly stated in the Agreement.
Both parties agree to hold each other’s confidential information in strict confidence and will not disclose such information to any third party without the prior written consent of the disclosing party, except as required by law. Confidential information includes, but is not limited to, business plans, client data, pricing information, and project details. This obligation of confidentiality will survive the termination of this Agreement.
To the maximum extent permitted by applicable law, Apical Lexicons’s liability to you for any claims arising out of or related to these Terms or the provision of the Services will be limited to the total amount of fees paid by you to Apical Lexicons under the Agreement in the twelve (12) months preceding the event giving rise to the liability.
In no event will Apical Lexicons be liable for any indirect, incidental, consequential, special, or punitive damages (including, without limitation, loss of profits, data, use, goodwill, or other economic advantage) arising out of or related to these Terms or the provision of the Services, regardless of the cause of action.
Apical Lexicons warrants that the Services will be performed in a professional and workmanlike manner, consistent with industry standards.
Except as expressly stated in these Terms or the Agreement, Apical Lexicons makes no other warranties, express or implied, regarding the Services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
You agree to indemnify, defend, and hold harmless Apical Lexicons, its officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your breach of these Terms or the Agreement, (b) your use of the Services, or (c) any content or information you provide to us.
These Terms and any Agreement will be governed by and construed by the laws of [Ghana and Dubai].
Any dispute arising out of or relating to these Terms or the Agreement will be subject to the exclusive jurisdiction of the courts of [Ghana and Dubai]
Before resorting to litigation, both parties agree to attempt to resolve any disputes amicably through good-faith negotiations.
These Terms will commence on the Effective Date and will continue in effect for as long as Apical Lexicons is providing Services to you under an Agreement.
Either party may terminate an Agreement upon written notice if the other party materially breaches these Terms or the Agreement and fails to cure such breach within [Specify Number] days after receiving written notice of the breach.
We may also terminate an Agreement immediately upon written notice if you become insolvent or bankrupt.
Upon termination, you will pay Apical Lexicons for all Services performed and expenses incurred up to the date of termination.
These Terms, together with any applicable Agreement, constitute the entire agreement between you and Apical Lexicons to the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written.
Apical Lexicons reserves the right to modify these Terms at any time by posting the revised Terms on our website or otherwise providing notice to you. Your continued use of the Services after the effective date of any such modifications will constitute your acceptance of the revised Terms.
All notices and other communications under these Terms must be in writing and will be deemed to have been duly given when (a) delivered personally, (b) sent by certified or registered mail, return receipt requested, (c) sent by reputable overnight courier, or (d) sent by email (with confirmation of receipt), to the respective addresses of the parties as specified in the Agreement or as otherwise notified in writing.
If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision will be severed from these Terms, and the remaining provisions will continue in full force and effect.
No waiver of any provision of these Terms will be effective unless in writing and signed by the waiving party. No failure or delay by either party in exercising any right, power, or remedy under these Terms will operate as a waiver of such right, power, or remedy.
You may not assign your rights or obligations under these Terms or any Agreement without the prior written consent of Apical Lexicons. Apical Lexicons may assign its rights or obligations under these Terms or any Agreement without your consent.
Neither party will be liable for any failure or delay in performance of its obligations under these Terms or any Agreement (other than payment obligations) to the extent such failure or delay is caused by events beyond its reasonable control, including, without limitation, acts of God, war, terrorism, riots, natural disasters, strikes, or internet service disruptions.
19.1 From time to time, Apical Lexicons may offer bonuses, discounts, special offers, or promotions related to our Services (collectively, “Promotions”). These Promotions may be subject to specific terms and conditions, which will be communicated to you at the time of the Promotion.
19.2 Eligibility for Promotions and the specific details of any Promotion (including duration, discount amount, included services, and any limitations) will be determined by Apical Lexicons at its sole discretion.
19.3 Apical Lexicons reserves the right to modify, suspend, or terminate any Promotion at any time, with or without notice, unless otherwise required by applicable law. Your participation in a Promotion does not create any vested right to the continuation or future availability of that or any other Promotion.
19.4 Unless expressly stated otherwise in the specific terms of a Promotion, Promotions are non-transferable and cannot be combined with other offers.
19.5 In the event of cancellation or termination of Services by you prior to the completion of the term or fulfilment of the conditions of a Promotion, you may forfeit any benefits received under the Promotion, and standard fees may apply.
19.6 Any advertised prices or discounts offered during a Promotion are subject to change and may not include applicable taxes or other charges, which will be clearly communicated at the time of purchase or engagement of Services.
19.7 Apical Lexicons shall not be obligated to honour any Promotion that contains typographical errors, inaccuracies, or omissions, even after you have acted in reliance on such Promotion.
19.8 Specific Promotions may have additional terms and conditions outlined separately. In the event of a conflict between these general Terms and the specific terms of a Promotion, the specific terms of the Promotion will prevail concerning that Promotion.
19.9 Apical Lexicons reserves the right to refuse participation in any Promotion if we suspect abuse, fraud, or violation of the Promotion’s terms or these general Terms.
Introductory Discount: New clients may be eligible for a one-time discount on their first Service engagement, subject to the terms communicated at the time of the offer.
Referral Program: Clients who refer new paying clients may be eligible for a bonus or discount on future Services, subject to the conditions of the referral program.
Bundled Services Discount: Engaging multiple Services concurrently may qualify for a discounted rate, as specified in a separate offer.
